1. Acceptance of Terms

By accessing or using AuraicPulse Media ("the Platform"), operated by AuraicPulse Ventures ("we", "us", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform.

These Terms apply to all users, including agency administrators, team members, and clients who interact with the Platform. By creating an account or using any feature, you confirm that you have read, understood, and accepted these Terms in full.

2. Description of Service

AuraicPulse Media is the proprietary platform of AuraicPulse Ventures, a social media management and marketing agency based in Ireland. We manage social media accounts, create content, run campaigns, and provide analytics on behalf of our clients. The Platform is not a public self-service tool. Access is granted to our agency team and authorised clients only. The Platform provides the following capabilities:

• AI-assisted content creation, scheduling, and publishing across multiple social media platforms
• Client management, approval workflows, and collaboration tools
• Analytics and performance reporting aggregated from connected social accounts
• AI workforce features including smart briefings, task management, and automated recommendations
• Booking and event management (Supernova module)
• Push notifications, email communications, and proactive alerts

We may add, modify, or discontinue features at any time. We will make reasonable efforts to notify users of significant changes.

3. Account Responsibilities

When you create an account on AuraicPulse Media, you agree to the following:

• You must provide accurate and complete registration information
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately if you become aware of any unauthorised use of your account
• You must be at least 18 years old to create an account
• One person or entity may not maintain more than one active account without our prior consent

If you are using the Platform on behalf of an organisation, you confirm that you have the authority to bind that organisation to these Terms.

4. Acceptable Use

You agree to use the Platform responsibly and lawfully. The following activities are strictly prohibited:

4.1 Spam and Abuse

• Sending unsolicited bulk messages, automated spam, or misleading content through the Platform
• Creating fake accounts, fake engagement, or artificially inflating metrics
• Using the Platform to scrape, harvest, or collect data from social media platforms in violation of their terms

4.2 Illegal and Harmful Content

• Publishing or distributing content that is defamatory, obscene, threatening, or otherwise unlawful
• Uploading content that infringes on the intellectual property rights of any third party
• Distributing malware, viruses, or any other harmful code through the Platform

4.3 Abuse of AI Features

• Using AI content generation to produce misleading, deceptive, or fraudulent material
• Attempting to circumvent AI safety filters or usage limits
• Using AI features to generate content that impersonates real individuals without their consent
• Submitting prompts designed to extract proprietary system instructions or model configurations

We reserve the right to suspend or terminate accounts that violate this acceptable use policy, with or without prior notice depending on the severity of the violation.

5. Intellectual Property

5.1 Your Content

You retain full ownership of all original content you create, upload, or publish through the Platform. By using AuraicPulse Media, you grant us a limited, non-exclusive licence to host, store, and transmit your content solely for the purpose of delivering our services to you.

5.2 AI-Generated Content

Content generated by AI features on the Platform (including text, image suggestions, and analytics summaries) is licensed to you for your unrestricted use. You may use, modify, publish, and commercialise AI-generated content without limitation. We do not claim ownership of AI-generated content produced for your account.

However, AI-generated content may not be entirely unique. Similar outputs may be generated for other users based on similar prompts. We make no guarantees of exclusivity for AI-generated material.

5.3 Platform Intellectual Property

The AuraicPulse Media name, logo, software, design, and documentation are the intellectual property of AuraicPulse Ventures. You may not copy, modify, distribute, or reverse-engineer any part of the Platform without our written permission.

6. Third-Party Services

The Platform integrates with a range of third-party services. Your use of these integrations is subject to their respective terms of service:

6.1 Social Media Platforms

As your agency, we connect to and manage your social media accounts on platforms including Meta (Facebook, Instagram, Threads), TikTok, YouTube, LinkedIn, Pinterest, X, and Google Business Profile. You authorise us to publish content, pull analytics, and manage your presence on these platforms on your behalf as part of our service agreement. You must comply with each platform's terms and policies for your accounts. We are not responsible for changes to third-party APIs or platform policies that may affect functionality.

6.2 AI Providers

Our AI features are powered by third-party providers including Groq, Google Gemini, Anthropic (Claude), and xAI (Grok). Content you submit for AI processing may be transmitted to these providers. We send only the minimum data required for each task and never transmit passwords, payment details, or OAuth tokens to AI providers.

6.3 Infrastructure and Email

We use DigitalOcean for hosting and data storage (EU region), Resend and Postmark for transactional email delivery, and Zoho Mail for business communications. These providers process data on our behalf under appropriate data processing agreements.

7. Payment Terms

Access to certain features requires a paid subscription. The following terms apply to all paid plans:

• All payments are processed securely through Stripe. We never see or store your full card details.
• Subscriptions are billed on a recurring basis (monthly or annually) depending on your chosen plan
• Prices are displayed in your chosen currency and are inclusive of applicable taxes unless otherwise stated
• You may upgrade or downgrade your subscription tier at any time. Changes take effect at the start of the next billing cycle.
• Refunds are handled on a case-by-case basis. If you cancel within 14 days of initial purchase and have not made substantial use of the Platform, you may request a full refund.
• We reserve the right to change pricing with at least 30 days' written notice. Existing subscribers will be given the option to continue at their current rate until the end of their billing period.

If payment fails, we will attempt to charge the payment method on file up to three times. After three failed attempts, your account may be downgraded to a free tier or suspended until payment is resolved.

8. Data and Privacy

We take your privacy seriously. Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms part of these Terms.

• All data is stored on EU-based infrastructure (DigitalOcean, managed PostgreSQL)
• We comply with GDPR and applicable Irish and EU data protection laws
• You can export all your data at any time via the admin settings
• We do not sell personal data to third parties
• You can request deletion of your data at any time by contacting us

9. Service Availability

We aim to keep AuraicPulse Media available and reliable at all times, but we do not offer a formal Service Level Agreement (SLA). Specifically:

• We make reasonable efforts to maintain uptime but do not guarantee uninterrupted access
• Scheduled maintenance windows will be communicated in advance when possible
• We are not liable for downtime caused by third-party services, internet outages, or circumstances beyond our reasonable control
• API rate limits and fair usage policies may apply to prevent abuse and ensure equitable access for all users

In the event of extended outages or service degradation, we will communicate updates through our status channels and email notifications.

10. Limitation of Liability

To the maximum extent permitted by Irish and EU law:

• The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied
• We do not warrant that AI-generated content will be accurate, complete, or suitable for any particular purpose. You are responsible for reviewing all content before publication.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform
• Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for actions taken by social media platforms (such as account suspensions or content removals) that may result from content published through the Platform

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded under applicable law.

11. Termination

Either party may terminate the use of the Platform as follows:

11.1 Termination by You

• You may cancel your account at any time through the account settings or by contacting us
• Upon cancellation, your subscription will remain active until the end of the current billing period
• You may request a full data export before account deletion

11.2 Termination by Us

• We may suspend or terminate your account for violation of these Terms, with notice where practicable
• In cases of severe abuse, illegal activity, or security threats, we may terminate access immediately without notice
• If we discontinue the Platform entirely, we will provide at least 60 days' notice and make data export available

11.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately (or at the end of your billing period, if you cancelled voluntarily). We will retain your data for 30 days after termination to allow for export, after which it will be permanently deleted unless retention is required by law.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Ireland.

• Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Ireland
• Where applicable, EU consumer protection regulations (including the Consumer Rights Directive and the Digital Content Directive) apply in addition to these Terms
• We encourage users to contact us directly before initiating formal proceedings, as many issues can be resolved informally

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal requirements, or business practices. When we make changes:

• We will update the "Last updated" date at the top of this page
• For material changes, we will notify registered users via email or in-app notification at least 14 days before the changes take effect
• Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms
• If you do not agree with the updated Terms, you may cancel your account before the changes take effect
